Itaú Unibanco anunció OPA para adquirir la totalidad del banco en Chile. Trás la salida de la familia Saieh, uno de los más importantes acreedores en el Itaú Unibanco Chile, se hizo entrega de parte de las acciones que tenían.
A raíz de esto hace un año atrás Itaú Unibanco informó que ante esta situación, buscaban evitar una OPA que en la época significaba un desembolso de alrededor de USD 610 millones.
Sin embargo, al cumplirse casi un año de este hecho, Itaú Unibanco anunció a sus accionistas en Brasil que aprobaron la contratación de asesores para iniciar las actividades necesarias relacionadas a realizar una Oferta Pública de Adquisición (OPA) de las acciones emitidas por Itaú Chile.

La intención de esta oferta tiene la intención de la adquisición por parte de Itaú Unibanco o sus filiales de hasta la totalidad de las acciones que están en circulación por Itaú Chile.
Actualmente Itaú Unibanco posee el 65,62% de la propiedad del banco y el 34,38% pertenece a accionistas minoritarios.
Precio de las acciones de Itaú Unibanco Chile
Según informaron el precio de la compra será de $2,00 por cada acción.
Este valor es una prima de aproximadamente del 10% sobre el precio medio de negociación por acción en la BCS durante las últimas sesiones.
Itaú Unibanco anunció OPA para adquirir la totalidad del banco en Chile
Considerando este valor por acción, se estima que USD 821 millones sería el valor necesario para adquirir la totalidad de las acciones del banco.
Fue necesario ajustar el precio de compra para reflejar el pago de dividendos por parte de Itaú Chile con anterioridad a liquidación de la oferta.
Se espera que el proceso de OPA se lleve a acabo en el primer semestre de 2023.
Llevandose a cabo de forma simultánea para los accionistas de Itaú Chile y en Estados Unidos para todos los titulares de ADS.
También para los titulares estadounidenses que poseen acciones con Itaú Chile.
La compra de las acciones estará sujeta al cumplimiento de condiciones habituales para este tipo de operaciones.
Como así también las aprobaciones regulatorias aplicables del Banco Central de Brasil.
